The undersigned student/instructor and/or his/her department/division/ agency does hereby release and discharge, Johnny Lee Smith, Triad Martial Arts, Inc., SSGT, his and its employees, agents, instructors, and other students from all claims, demands, rights of cause of action, present or future, whether known, and anticipated or unanticipated and resulting from or arising out of, or incident to the students’s use (or intended use) of SSGT schools, classes, seminars, courses or locations, or facilities and equipment in such places or as a result of, or incident to, engaging in SSGT schools, classes, seminars, courses , exercise or otherwise following SSGT instructions anywhere. I/we recognize and acknowledge that defensive tactics, martial arts, SSGT, is a contact self-defense activity and therefore can be dangerous. I/we also recognize and acknowledge that the application of force against any and all persons must be objectively reasonable based on the totality of circumstances at the time said force is applied. I have read and understand the foregoing assumption of risk agreement and release and verify that understanding by checking the box below. * Agreement, made as of the date of the submission of this form by and between TRIAD MARTIAL ARTS INC., And JOHNNY LEE SMITH, hereinafter referred to as the “Employer,” and the individual who submitted this form , hereinafter referred to as the “Employee.” Whereas, the Employer conducts a criminal justice and security instruction business otherwise known as S.S.G.T. (Strategic Self-defense and Gunfighting Tactics); and Whereas Employer has expanded and expects to continue to expand large sums of money to develop methods of teaching criminal justice and security defensive tactics and procuring patronage and prestige for S.S.G.T. and have developed and established methods of instruction known as S.S.G.T., Which, it is agreed, are distinctive and unique, and Employer has as a consequence attained a nationwide reputation for conducting and supervising criminal justice and security training of the highest character; and Whereas, the Employee is presently entirely unacquainted with said S.S.G.T. or any method of teaching such tactics and desires to be instructed so that Employee can enter the employ of the Employer as an instructor, or at option of the Employer, in other capacities; and Whereas, the Employer is willing to train and instruct Employee in methods of teaching and to disclose to the Employee the confidential trade secrets and other information of S.S.G.T. As to methods, techniques, names of techniques, methods of instruction of techniques, etc., Which Employee has been permitted to acquire and use, but only upon condition that such trade secrets shall be held confidential and shall not be abused, revealed to competitors of the Employer or used by the Employee for his or her own benefit or in competition with Employer, which training and instruction is of an agreed value in excess of $10,000.000 dollars; Now, therefore, the Employer and the Employee agree as follows: 1. Employment. The Employer hereby employs the Employee as an instructor, supervisor or interviewer, at the option of the Employer, for a period of three years (3 years) from the date that Employee completes the course of instruction hereinafter mentioned to the satisfaction of Employer of which fact Employer shall be sole judge and the Employee agrees to serve in such capacities and observes the rules and regulations of the Employer as promulgated from time to time. 2. Compensation. The Employer will pay to the Employee, who will accept in full payment for all services, the following: $0.00 dollars. The Employee will pay to the Employer, who will accept in full payment for all services, the following for officers certified within the respective organization and/or agency of the Employee: $0.00 dollars per officer certified in the twenty-four (24)-hour level one student course and/or the twenty-four (24)-hour level two student course. As a result, said officers will be certified and recognized by S.S.G.T. for one year provided he or she passes all tests and requirements set forth by S.S.G.T. and provided that all student and course information forms are completed and sent by U.S. Mail to S.S.G.T. headquarters in Cullman, Al. The employee understands and agrees to charge $0.00 dollars to his or her own respective department for the certification of its officers. 3. Certification. The Employee, upon satisfactory completion of the Vanguard Level One S.S.G.T. Instructor course, will be certified to conduct a Vanguard Level One twenty-four (24)-hour student course and thereby certify officers as Vanguard Level One students which certification will be valid for 23 months from date of said certification. The Employee, upon satisfactory completion of the Vanguard Level Two S.S.G.T. Instructor course, will be certified to conduct a Vanguard Level Two twenty-four (24)-hour student course and thereby certify officers as Vanguard Level Two students which certification will be valid for 23 months from date of said certification. The Employee, upon satisfactory completion of the Alpha S.S.G.T. Instructor course, will be certified to conduct an Alpha twenty-four (24)-hour student course and thereby certify officers as Alpha students which certification will be valid for 23 months from date of said certification. Employee understands and agrees that only Johnny Lee Smith or his Certified Instructor Trainers may instruct and certify S.S.G.T. Instructors. Employer may revoke Employee’s certification if Employee fails to instruct S.S.G.T. classes, courses, schools, and seminars in strict accordance with the most currently dated S.S.G.T. Manual and/or manuals. 4. Duties of Employee. The Employee shall render services Employee may be directed by the Employer, but there shall be no fixed minimum or other provisions with regard to the total number of hours that the Employee shall be actively employed. 5. Training Course. The Employer will make available to the Employee a course of training in S.S.G.T. in order to fit the trainee to teach according to the unique S.S.G.T. methods. During and after such course training, there will be disclosed to Employee trade secrets and information not only as to the S.S.G.T. methods but the names of pupils and patrons of the Employer, and Employee will have occasion at the behest of the Employer, to meet such pupils and patrons. (Criminal Justice and security officers of any kind shall be considered patrons of the Employer.) 6. Conducting Student Classes. Employee shall implement the use of a minimum of 1 1/2 inch thickness floor mats for any and all S.S.G.T. classes, courses, schools, and/or seminars. Employee shall conduct a proper 15 minute warm-up prior to all S.S.G.T. classes, courses, schools, and/or seminars. Employee shall not allow free-sparring, free grappling, free-wrestling or any form of horseplay to occur during S.S.G.T. classes, courses, schools, and/or seminars. Employee shall read, adhere to and enforce the “Training Guidelines” provided in the front of his or her S.S.G.T. Instructor Manual(s). 7. Use of Employee’s Name and Photograph. The Employer may photograph the Employee; and the Employer may forever use his or her name and photographs in connection with advertising and publicity whether it be directly or indirectly. 8. Limitation of Use by Employee. Employee shall not teach or instruct anyone S.S.G.T. except for currently employed criminal justice and/or security officers. Immediately after Employee’s instructor certification expires and/or Employee is no longer employed as a criminal justice and/or security officer, Employee shall no longer instruct, teach or hold S.S.G.T. Classes, courses, schools, or seminars. Employee shall not teach, instruct, demonstrate, or in any way or form transmit to another person or entity, without the written permission of the Employer, the S.S.G.T. name, logo, logos, techniques, names of techniques, and methods of instruction of techniques of S.S.G.T.. Employee acknowledges that S.S.G.T. is the sole property of the Employer and Employee shall not teach S.S.G.T. techniques under the name of another self-defense system or school, defensive tactics system or school, officer survival system or school, or martial arts system or school, now, in the future and forever. Employee shall not teach S.S.G.T. or any technique of the same under a different name which would and does include teaching an S.S.G.T. technique and naming or calling said technique by another name other than the name associated with said technique in any S.S.G.T. manual. Any and all manuals, CD rom discs, DVD discs, VHS tapes, books and materials are for certified instructor and student use only and may not be reproduced, copied, digitally re-engineered or in any way duplicated. 9. Injunction. The parties hereto, recognize that irreparable injury to the trade secrets of the Employer will inevitably occur in the event of a breach of the terms of this contract on the part of the Employee, and result in irreparable damage to Employer and the S.S.G.T. system, agree that in such event the Employer shall be entitled , in addition to any other remedies and damages available and without proof of monetary or immediate damage, to an injunction to restrain the violation hereof by the Employee, and all persons acting for or with him or her. 10. Renewal. This contract shall be automatically renewed at the expiration of the term hereof for additional weekly periods, from week to week, unless and until terminated by notice in writing from one party to the other and shall govern the relationship between Employer and Employee as long as Employee remains in the employ of the Employer. 11. Successors. This agreement shall enure to the benefit of any successor of assignee of the Employer and its successors and assigns.
